These Terms of Service (“Terms”) govern your access to and use of the MiNdLiNkS IT Consulting Services, operated by MiNdLiNkS Informatics Private Limited. By using our Services, you agree to be bound by these Terms.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. In that case, “you” and “your” refer to the organization.

1. Eligibility & Account

• You must be at least 18 years of age and a graduate, with the legal capacity to enter into a binding contract.
• You are responsible for maintaining the confidentiality of your process-related information, login credentials, agreement, and all information or activities associated with your engagement with us.
• You agree to provide accurate, current, and complete information while creating or updating your Candidate Profile and to promptly update such information whenever necessary to ensure its accuracy.

2. Use of the Services

You agree to use our Training, Consulting, and Placement Services only for lawful and legitimate career development purposes. You shall not:

• Violate any applicable laws, regulations, or professional standards while participating in our training programs or placement services.
• Provide false, misleading, or fraudulent information regarding your Educational Qualifications, Work Experience, Certifications, Identity, or Employment History.
• Misuse, Reproduce, Distribute, Or Share Our Training Materials, Project Content, Assessments, Interview Preparation Resources, or any Proprietary Information without prior written consent.
• Engage in any activity that may disrupt, interfere with, or adversely affect our Training Programs, Placement Processes, Online Platforms, Systems, Staff, Clients, Vendors, or other Candidates.
• Misrepresent yourself to prospective Employers, Clients, Vendors, or any Third Party in connection with the services provided by us.
• Attempt to gain unauthorized access to our Systems, Databases, Portals, or Confidential Information, or engage in any activity that compromises their security or integrity. 

3. Customer Data

“Candidate Information“ means any information, documents, or content submitted by you in connection with our Training, Consulting, and Placement Services, including but not limited to your Resume, Educational Qualifications, Work Experience, Identity Documents, Certifications, Photographs, Assessment Results, Interview Feedback, Project Submissions, Salary Details, Employment Preferences, and any other information required for Training, Profile Marketing, or Placement Activities.

• You retain ownership of your personal information and documents submitted to us.
• You grant MiNdLiNkS a limited, non-exclusive authorization to Use, Process, Store, Update, and Share your Candidate Information solely for the purposes of Training, Skill Assessment, Profile Enhancement, Interview Preparation, Employer Marketing, Placement Assistance, Background Verification, Client Submissions, and other services directly related to your career development and employment opportunities.
• You represent and warrant that all information, documents, certifications, and credentials submitted by you are true, accurate, complete, and legally obtained, and that you possess all necessary rights and permissions to provide such information to MiNdLiNkS. You agree to promptly notify us of any changes to your Candidate Information during the course of your engagement.

4. Intellectual Property

MiNdLiNkS and its licensors retain all rights, title, and interest in and to its Training Programs, Course Materials, Project Content, Assessment Modules, Interview Preparation Resources, Placement Methodologies, Software, Portals, Websites, Documents, Templates, Study Materials, Videos, Presentations, Branding, Logos, Trademarks, and all other proprietary intellectual property developed or provided as part of its Training, Consulting, and Placement Services.

Except as expressly permitted under this Agreement or through prior written authorization from MiNdLiNkS, no rights, ownership, or licenses are granted to you. You shall not copy, reproduce, modify, distribute, publish, sell, sublicense, reverse engineer, share with third parties, or commercially exploit any of MiNdLiNkS’ training materials, proprietary content, methodologies, trademarks, logos, brand elements, or other intellectual property without obtaining prior written consent from MiNdLiNkS. 

5. Fees & Payment

If you enroll in any of MiNdLiNkS’ Training, Consulting, Certification, Workbench, or Paid Placement Programs, you agree to pay all applicable Fees, Consulting Charges, Service Fees, or other agreed-upon amounts in accordance with the Payment Schedule, Enrollment Terms, or Agreement executed between you and MiNdLiNkS. Unless otherwise expressly agreed in writing:

• All fees shall be payable in the currency specified in your Enrollment Form, Invoice, Payment Schedule, or Service Agreement.
• Training fees, consulting charges, placement fees, certification fees, and any other service charges are non-refundable once the enrollment is confirmed or the services have commenced, except where otherwise required by applicable law or expressly agreed in writing by MiNdLiNkS.
• MiNdLiNkS reserves the right to suspend or terminate your participation in any Training Program, Project, Interview Process, Certification Support, Placement Activities, or access to learning resources if payments are overdue, dishonored, disputed without valid grounds, or remain unpaid beyond the agreed due date.
• Where a Placement Fee, Success Fee, or Consulting Fee is agreed to be paid after securing employment, you agree to make such payments strictly in accordance with the terms specified in the executed Placement Agreement, including any post-placement payment schedule. 

6. Trials & Beta Features

From time to time, MiNdLiNkS may offer complimentary Career Counseling Sessions, Demo Classes, Trial Access to Training Programs, Pilot Projects, Workshops, Webinars, Assessment Programs, Certification Guidance, Placement Assistance Initiatives, or Other Promotional Services. Such offerings are provided on an “as available” basis without any Guarantee, Representation, or Warranty Regarding Training Outcomes, Certification Success, Interview Calls, Job Offers, or Employment Opportunities.

MiNdLiNkS reserves the right to Modify, Limit, Suspend, or Discontinue any such Complimentary, Trial, Promotional, or Pilot Offerings at its sole discretion and without prior notice. 

7. Warranties & Disclaimers

To the maximum extent permitted by applicable law, all Training, Consulting, Certification Support, Career Guidance, Interview Preparation, Project Assistance, and Placement Services provided by MiNdLiNkS are offered on an “as available” and “best effort” basis. MiNdLiNkS makes no express, implied, or statutory warranties regarding the availability, suitability, completeness, or outcomes of its services, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

MiNdLiNkS does not guarantee successful completion of Training, Certification Results, Interview Selection, Job Offers, Salary Levels, Employment within a specific Timeframe, Promotions, Career Progression, or Placement with any particular Client, Employer, Vendor, or Organization. Employment Opportunities and Placement Outcomes depend on several factors, including but not limited to your Qualifications, Skills, Experience, Performance, Communication Abilities, Interview Performance, Market Demand, Employer Requirements, and prevailing industry conditions. You acknowledge and agree that all Career Guidance, Training, and Placement Assistance provided by MiNdLiNkS are intended to enhance your employability but do not constitute a guarantee of employment or any specific career outcome.

8. Limitation of Liability

To the maximum extent permitted by applicable law, MiNdLiNkS shall not be liable for any Indirect, Incidental, Special, Consequential, Exemplary, or Punitive Damages, or for any loss of Employment Opportunities, Salary, Business, Income, Profits, Reputation, Data, Goodwill, or any other Financial or Non-Financial Loss arising out of or in connection with your enrollment in, participation in, or use of MiNdLiNkS’ Training, Consulting, Certification Support, Career Guidance, Interview Preparation, Project Assistance, or Placement Services.

MiNdLiNkS shall not be held responsible for any decisions made by Employers, Clients, Vendors, Certification Bodies, or Third-Party Organizations regarding Interviews, Assessments, Employment, Compensation, Promotions, Transfers, Background Verification, Certification Results, or any other employment-related matters, as such decisions are made solely at the discretion of the respective organizations.

9. Term, Suspension & Termination

• This Agreement shall remain in effect from the date of your enrollment and shall continue until the completion of the applicable Training, Consulting, Certification Support, Placement Services, or until it is terminated in accordance with the terms of this Agreement.
• MiNdLiNkS reserves the right to suspend or terminate your Enrollment, Participation, access to Training Resources, Project Support, Interview Assistance, Placement Activities, or any other services if you breach any provision of this Agreement, provide false or misleading information, engage in misconduct, violate confidentiality obligations, misuse our resources or intellectual property, or fail to make payments in accordance with the agreed payment schedule.
• You may discontinue your participation in any program by providing written notice to MiNdLiNkS. However, such discontinuation shall not relieve you of any outstanding Financial Obligations, Placement Consulting Fees, Service Charges, or other commitments already agreed upon under this Agreement, unless otherwise expressly agreed in writing by MiNdLiNkS.

10. Governing Law & Disputes

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, claim, or controversy arising out of or relating to this Agreement, your enrollment, participation in any Training, Consulting, Certification Support, Career Guidance, Interview Preparation, Project Assistance, or Placement Services provided by MiNdLiNkS shall be governed by the applicable laws of India.

The parties agree to make reasonable efforts to resolve any dispute amicably through mutual discussions. If the dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana, India.

11. Changes to These Terms

MiNdLiNkS reserves the right to modify, amend, or update this Agreement, its Policies, Program Structure, Service Offerings, Fee Schedules, Payment Terms, Training Curriculum, Placement Processes, or any related Terms and Conditions from time to time to reflect changes in Business Practices, Legal Requirements, or Service Enhancements.

Whenever material changes are made, MiNdLiNkS will revise the “Last Updated” date of this Agreement and may notify candidates through email, WhatsApp, the official website, candidate portal, learning platform, or any other communication channel deemed appropriate. Your continued enrollment, participation in our Training, Consulting, Certification Support, Career Guidance, Project Assistance, Interview Preparation, or Placement Services after such changes become effective shall constitute your acknowledgment and acceptance of the revised Agreement and its terms.
